Terms and Conditions of Sale and of Use
KATYSHOP.RO LTD, registered in England and Wales under company number 17348937, registered office 57 Prospect Drive, Shirebrook, Mansfield NG20 8BH, England (the "Company", "we", "us").
Effective date: 21 October 2026. Version: 2.2 (13 October 2026 — reference to the measurement of advertising within the App added at clause 13.6; version 2.1 of 4 October 2026 remains in force until the effective date).
Please read these terms carefully. They set out the basis upon which we supply goods to you and the basis upon which you may use our website and application. Nothing in these terms affects your statutory rights as a consumer.
1. Interpretation
1.1 In these terms:
"Auction" means a bidding process conducted through the App in which an Item is allocated to the highest bidder upon the close of bidding;
"Basket" means the record maintained within the App of Items reserved to a User and not yet paid for;
"Contract" means a contract for the sale of Items formed in accordance with clause 5;
"Item" means a good offered for sale by the Company;
"Live Sale" means a real-time video broadcast conducted through the App during which Items are offered at a stated fixed price;
"Services" means the Website and the App together;
"User", "you" means a natural person who accesses the Services or purchases Items;
"Website" means www.katyshop.ro; and
"App" means the mobile application published as Katy Shop Pro for the Android and iOS operating systems.
1.2 A reference to a statute or statutory provision is a reference to it as amended or re-enacted from time to time.
1.3 Headings do not affect the interpretation of these terms.
2. Application of these terms
2.1 These terms apply to the exclusion of any other terms which the User seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.
2.2 By creating an account, placing an order, or otherwise using the Services, the User accepts these terms.
2.3 The Company may amend these terms. The version applicable to a Contract is that in force at the time the Contract is formed. Amendments affecting the use of the Services take effect upon publication.
3. Eligibility
3.1 The Services are available only to persons who have attained the age of eighteen years. By using the Services the User warrants that this is the case.
3.2 The App requires the User to state a date of birth. That date, once recorded, cannot thereafter be altered. This restriction exists in order that the verification cannot be circumvented, and the User acknowledges it as a condition of use.
3.3 The Company may refuse to open an account, or may close an existing account, where it has reasonable grounds to believe that the User is under the age of eighteen years.
3.4 The Services are offered to consumers acting for purposes wholly or mainly outside their trade, business, craft or profession. The Company does not contract with Users purchasing for resale, and reserves the right to decline or cancel any order which it reasonably believes to be placed for that purpose.
4. Accounts
4.1 An account is created by authentication through Google or Apple. The Company does not issue, hold or store passwords.
4.2 The User is responsible for maintaining the security of the account used to authenticate, and for all activity conducted through the User's account.
4.3 The User must supply accurate account particulars, in particular a delivery address and telephone number, and must keep them up to date. The Company is not liable for non-delivery arising from inaccurate particulars supplied by the User.
4.4 The User may delete the account at any time and without giving reasons, in the Settings section of the App ("Setări" → "Șterge contul") or in accordance with clause 7 of the Privacy Notice, and should thereafter uninstall the App from the User's device as soon as practicable.
4.5 Security of the device. The User is solely responsible for the security of the device on which the App is installed, including its screen lock, and of the Google or Apple account used to authenticate, and shall not permit any other person to access the App through that device or account. Every claim, bid, message and other act carried out through the User's account is deemed to have been carried out by the User. The Company accepts no responsibility for any loss or consequence arising from access to the User's device or account by another person where such access results from the User's failure to secure them, save to the extent that such loss or consequence results from a breach by the Company of its own obligations.
5. Formation of the Contract
5.1 Live Sale. Where an Item is offered during a Live Sale, the User may claim it by the means provided within the App. The first claim registered by the Company's server prevails. Simultaneity is determined by the server, and the Company's records are conclusive in the absence of manifest error.
5.2 Auction. Where an Item is offered by Auction, each bid constitutes an offer by the User to purchase at the sum bid. Bids may not be withdrawn once placed. Upon the close of bidding the highest bid is allocated the Item.
5.3 Effect of a claim or a winning bid. A claim under clause 5.1 or a winning bid under clause 5.2 causes the Item to be withdrawn from sale and reserved to the User in the Basket. It does not of itself conclude a Contract.
5.4 Postage and the total price. Because Items are dispatched together in a single consignment, the postage payable cannot be ascertained until the consignment has been assembled and weighed. Upon weighing, the Company notifies the User of the total sum payable, comprising the price of the Items and the postage.
5.5 Conclusion of the Contract. The Contract is concluded when the User pays the total sum notified under clause 5.4. Until payment is made, no Contract exists and the User is under no obligation to proceed.
5.6 Website orders. Where an order is placed through the Website, the Contract is concluded when the Company despatches a confirmation of despatch. The total price, including postage, is displayed before the order is placed.
5.7 The Company may decline to conclude a Contract, and shall refund any sum paid, where an Item is unavailable, where the price displayed was manifestly erroneous, or where the Company has reasonable grounds to suspect fraud.
6. Reserved Items and release of the Basket
6.1 An Item reserved under clause 5.3 is held for the User pending payment.
6.2 A User who no longer wishes to purchase a reserved Item may so inform the Company before payment by any means through which the Company is available, whether orally (including during a broadcast) or in writing (including by WhatsApp or electronic mail). The Company will remove the Item from the Basket immediately and without discussion, and the Item is thereupon released for sale to others. No charge arises. The Company never requires a User to purchase an Item with which the User is not satisfied.
6.2A Payment is enabled only after the Company has approved the Basket. Before paying, the User shall verify the contents of the Basket shown in the App; payment constitutes the User's confirmation that the Items in the Basket are those the User wishes to purchase.
6.3 The Company may release a reserved Item where payment has not been made within a reasonable period following notification under clause 5.4, having given the User notice of its intention to do so.
7. Price and payment
7.1 Prices are stated in pounds sterling.
7.2 The Company is not registered for Value Added Tax. No VAT is charged upon, and no VAT is recoverable in respect of, any sum payable under a Contract.
7.3 Payment is effected by card through Revolut Ltd upon a payment page operated by that company. The User's card particulars are transmitted directly to Revolut Ltd and are not received, processed or stored by the Company.
7.3A Where the App offers it, and subject to the minimum amount and the conditions shown at the time, a User resident in the United Kingdom may elect to pay by instalments through Klarna or Clearpay, by way of a payment page operated by Stripe Payments UK Ltd. Any credit agreement is concluded between the User and Klarna or Clearpay, which may carry out their own checks; the Company receives payment in full and is not a party to that agreement.
7.4 Where a User settles by direct bank transfer with the Company's prior agreement, the Contract is concluded upon receipt of cleared funds.
7.5 An invoice is issued upon payment and transmitted to the electronic mail address held on the account.
7.6 Contest. The monthly contest and the evening prize offered in the App are governed by the rules published at live.katyshop.cloud/regulament, which form part of these terms for any User who takes part. Prizes are not exchangeable for cash.
8. Delivery
8.1 Delivery is effected in accordance with the Shipping Policy, which forms part of these terms.
8.2 Risk in the Items passes to the User upon delivery. Title passes upon payment in full.
8.3 Where the Company fails to deliver within thirty days of the conclusion of the Contract, or within such other period as may be agreed, the User's rights under regulation 42 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply.
9. Cancellation, return and refund
9.1 The User's statutory right to cancel a distance contract, and the Company's more generous contractual return period, are set out in the Return and Refund Policy, which forms part of these terms.
9.2 For the avoidance of doubt, an Item purchased through an Auction conducted within the App is not purchased at a public auction within the meaning of regulation 6(1)(f) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, the User having no opportunity to attend in person. The statutory right to cancel accordingly applies to such purchases in the same manner as to any other.
10. Nature of the Items
10.1 The Company sells both new and second-hand Items. Where an Item is second-hand, that fact is stated.
10.2 Under the Consumer Rights Act 2015, Items supplied must be of satisfactory quality, fit for purpose and as described. In assessing the satisfactory quality of a second-hand Item, regard is to be had to its age, its price and its description.
10.3 Photographs and video transmissions are indicative. Colour reproduction varies according to the display of the User's device, and minor variation does not of itself constitute a defect.
11. Use of the Services and rules of conduct
11.1 The User shall not:
(a) post in the live chat any content which is unlawful, defamatory, obscene, threatening, harassing, discriminatory, or which infringes the rights of another;
(b) impersonate any person, or misrepresent an association with any person;
(c) use the Services to advertise, or to solicit business for, any undertaking;
(d) record, reproduce, retransmit, broadcast or otherwise exploit any broadcast, photograph or other content published through the Services, whether in whole or in part;
(e) employ any automated means to access the Services, to claim Items or to place bids;
(f) circumvent, or attempt to circumvent, any technical restriction imposed by the Services, including the restriction upon capturing the screen; or
(g) do any act calculated to impair the operation, security or availability of the Services.
11.2 A User may report any message posted in the live chat. Reports are reviewed by the Company.
11.3 Where a User breaches clause 11.1, the Company may remove the content, suspend the User's access to the live chat, or close the User's account. Where the breach is serious or persistent, the Company may do so without prior warning. Sums paid in respect of Items already purchased are unaffected.
11.4 The Company gives no undertaking to monitor the live chat in real time, and does not adopt as its own any statement made by a User.
12. Intellectual property
12.1 Ownership. All intellectual property rights, including copyright, database right, design right and rights in trade marks, names, get-up and goodwill, whether registered or unregistered, subsisting in the Services, in the broadcasts and recordings thereof, in the photographs and descriptions of Items, in the text, graphics, animations and layout published, in the animated character "Gugu", and in the names, marks and logos "Katy Shop" and "Katy Shop Pro", vest in the Company or in its licensors. Nothing in these terms operates as an assignment of any such right to the User.
12.2 Software. The software of the App and of the servers supporting the Services is protected as a literary work under the Copyright, Designs and Patents Act 1988. Copyright therein vests in its author, who has granted the Company a licence to use it for the conduct of its business; the Company provides the Services under that licence.
12.3 Licence to the User. The User is granted a personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to use the Services, for the User's own private and non-commercial purposes, for the purpose of viewing broadcasts and purchasing Items. No other right is granted, whether by implication, estoppel or otherwise.
12.4 Restrictions. Save to the extent expressly permitted by sections 50A to 50C and 296A of the Copyright, Designs and Patents Act 1988, the User shall not, and shall not permit any other person to: (a) copy, modify, adapt, translate, decompile, disassemble or reverse engineer the App or any part of the Services; (b) record, capture, retransmit, rebroadcast or make available to the public any broadcast or any part thereof; (c) extract or re-utilise, by automated means or otherwise, any substantial part of the contents of the Services, including prices, descriptions and photographs of Items; (d) use any name, mark or logo of the Company, or the character "Gugu", in connection with any goods, services or communication not originating from the Company; or (e) circumvent any technical measure applied to the Services.
12.5 The taking of screen captures and the recording of broadcasts are prohibited, and are technically restricted within the App.
12.6 Content supplied by the User. The User retains any rights in messages posted in the chat and in any profile image supplied (together, "User Content"). The User grants the Company a non-exclusive, royalty-free, worldwide licence, for the duration of the account, to host, reproduce and display the User Content within the Services and to the extent necessary for their operation and moderation. The User warrants that the User is entitled to grant that licence and that the User Content infringes no right of any third person.
12.7 Third-party marks. The names and marks of the manufacturers of Items offered through the Services are the property of their respective owners. Their use serves solely to identify the Items and implies no affiliation with, or endorsement by, that owner.
12.8 Infringement. Any breach of this clause 12 entitles the Company to suspend or close the account, without prejudice to any other remedy available to the Company or to its licensors. A person who considers that any content published through the Services infringes a right belonging to that person may notify the Company at [email protected], identifying the content and the right asserted.
13. Availability of the Services
13.1 The Services are provided without any undertaking as to uninterrupted availability. Broadcasts depend upon the User's own internet connection and upon third-party networks.
13.2 The Company may suspend the Services for maintenance, and will where practicable give notice.
13.3 The Company is not liable for the failure of a User to claim an Item or to place a bid where that failure is attributable to the User's connection, device or network.
13.4 Features of the App. The features of the App, including the display of the carrier and of the tracking particulars of each consignment, form an integral part of the Services, are necessary for the performance of the Contract, are provided uniformly to all Users, and are not altered, disabled or removed at the request of an individual User.
13.5 A User who does not accept any feature of the App, or the manner in which the Services operate, shall forthwith cease to use the Services, delete the account in accordance with clause 4.4 and uninstall the App. The continued use of the Services constitutes acceptance of their features as provided.
13.6 The App incorporates technologies for the measurement of advertising and analytics, which operate only with the User's consent, as set out at clause 12A of the Privacy Notice. The User may give or withdraw such consent at any time in the App under "Setări" → "Confidențialitate".
14. Liability
14.1 Nothing in these terms excludes or restricts the Company's liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation;
(c) any matter in respect of which it would be unlawful to exclude or restrict liability, including liability under the Consumer Rights Act 2015 and the Consumer Protection Act 1987.
14.2 Subject to clause 14.1, the Company is not liable for loss which was not foreseeable at the time the Contract was concluded, nor for loss arising from the User's own breach of these terms.
14.3 Subject to clause 14.1, the Company's liability in respect of any Contract shall not exceed the total sum paid by the User under that Contract.
14.4 The Company supplies Items for domestic and private use. The Company is not liable for loss of profit, loss of business, business interruption or loss of business opportunity.
15. Complaints and dispute resolution
15.1 Save for the removal of reserved Items under clause 6.2, which may be requested by any means there stated, all requests, complaints and notices concerning an account, an order or the Services shall be submitted in writing by electronic mail to [email protected], in order that a clear and complete record may be kept. The chat within the App is a public facility for conversation during broadcasts and is not a channel for requests or complaints; messages posted there are not treated as such. The Company aims to acknowledge a request or complaint within two business days and to resolve it within fourteen days.
15.2 Nothing in this clause affects the User's right to bring proceedings, the User's statutory rights as a consumer, or the rights of the User under data protection law.
16. General
16.1 Severance. If any provision of these terms is held to be invalid or unenforceable, the remaining provisions continue in force.
16.2 Waiver. A failure or delay by the Company in exercising a right is not a waiver of that right.
16.3 Assignment. The User may not assign or transfer any right or obligation under a Contract without the Company's written consent.
16.4 Third parties. A person who is not a party to a Contract has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
16.5 Entire agreement. These terms, together with the Privacy Notice, the Shipping Policy and the Return and Refund Policy, constitute the entire agreement between the parties in respect of their subject matter.
16.6 Governing law and jurisdiction. These terms and any Contract are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that a consumer resident in Scotland or Northern Ireland may bring proceedings in the courts of that jurisdiction, and a consumer resident in a Member State of the European Union retains the protection of the mandatory provisions of the law of that State and may bring proceedings in the courts thereof.
